About THG Ingenuity
THG Ingenuity offers three services: digital-commerce technology (Commerce), logistics and warehousing (Fulfil) and content production for brands (Studios). A multi-year contract with THG PLC covers infrastructure, technology, fulfilment, carriers, marketing and content; the documented model is selling services, not selling clients' products directly. The group company is FIC Shareco Limited, with its registered office in Altrincham, and company announcements are datelined Manchester. The demerger from THG PLC completed on 2 January 2025 through the distribution of shares to shareholders who opted to receive them, and it is not an acquisition. In 2021 SoftBank had agreed an option over 19.9% at an enterprise value of US$6.3B (£4.5B), which was terminated in 2022; the demerger was based on an equity value of £87.8M. No primary rounds can be attributed to the standalone company, and the £90M placing of 2025 belongs to THG PLC. Gemma Spence has been appointed CEO from December 2026. It is not treated as a unicorn because no realised value of at least $1 billion is on record.
